These Terms of Use (or "Terms") govern your use of our web application and website located at https://instantflow.io (collectively, "InstantFlow", the "Service", "we", or "us"), and provide information about the platform as outlined below. When you create an account or use InstantFlow, you acknowledge that you have read and understood these Terms and agree to comply with them. The Service is provided by Instantflow Limited.
Service Provided by InstantFlow
The Service is a web-based organizational platform made up of the following core aspects:
- Centralized Operational Directories: Tools to help you group, classify, and organize company items, supplier profiles, partner profiles, and customer directories.
- Workflow Tracking and Analytics: Interfaces to input, calculate, and review quotes, invoices, and company expenses for clear data visualization.
- Workspace Collaboration: Features that sync your custom data tables, layouts, and lists across teams who have been granted explicit access to your workspace.
- Communication Channels: Offering product system notices, operational updates, newsletters, marketing or promotional materials, and other information. You may opt out of receiving marketing communications from us at any time by updating your preference in your account settings.
The Privacy Policy
Our Privacy Policy explains how we collect, use, and share information. You must read and agree to our Privacy Policy to register for and use InstantFlow.
Your Commitments & Content Safety
Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, data lists, or other operational material ("Content"). You are solely responsible for the Content that you input or host on or through the Service, including its legality, reliability, and appropriateness.
You retain any and all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third party inputs on or through the Service.
To operate the Service, you grant InstantFlow a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, and display your Content solely to provide, maintain, and support the Service for you. This license ends when you delete the relevant Content or close your account, except to the extent needed for backups, legal compliance, or as described in our Privacy Policy. (If you are a paying subscriber, this same license is also stated for your Customer Data in the Subscription Agreement, which controls on commercial matters.)
To ensure a secure environment for all businesses, you agree not to post, upload, or transmit any Content that violates the following community restrictions:
1. Violence and Incitement
We prohibit content that incites, facilitates, or glorifies violence to prevent real-world harm.
Not Allowed: Threats of violence or injury; admissions, instructions, or depictions of violence or weapon use intended to cause physical harm; or threats targeting sensitive community or corporate settings.
2. Hate Speech
We do not allow attacks on individuals or groups based on protected characteristics (e.g., race, ethnicity, religion, gender, sexual orientation, disability, caste, or immigration status).
Not Allowed: Dehumanizing comparisons, allegations of inherent criminality, slurs, expressions of contempt, or support for the exclusion or segregation of protected groups.
3. Adult Nudity and Sexual Content
We restrict explicit content to respect professional standards and prevent non-consensual exploitation.
Not Allowed: Imagery of explicit sexual activity, visible genitalia, or explicit depictions of graphic adult content.
4. Bullying and Harassment
We prohibit content that targets individuals or teams to make them feel unsafe, disrespected, or compromised.
Not Allowed: Repeated unwanted digital contact, threats to release private records (doxxing), degrading depictions, or severe personal defamation.
5. Child Safety
We have zero tolerance for content that exploits, endangers, or harms minors.
Not Allowed: Any depiction of child abuse, exploitation, or harm, including AI-generated or fictional depictions of a harmful nature targeting minors.
User Responsibilities
Platform Security: You agree not to use any robot, spider, or other automated device, script, or system to access, scrape, or monitor the Service, nor take any action that damages or interferes with platform performance.
Account Safety: You are responsible for maintaining the confidentiality of your account credentials and password.
Reporting and Enforcement
Reporting: Users can report content or administrative violations directly to our support team. Reports are reviewed by our engineering and moderation teams, prioritizing urgent data threats.
Enforcement Actions: Violations may result in immediate content removal, restricted workspace permissions, account warnings, temporary workspace locking, or permanent account termination. We fully cooperate with law enforcement for serious digital threats.
Access to InstantFlow
When you create an account with us, you confirm that you are above the age of 18, and that the information you provide us is accurate, complete, and current. If you provide inaccurate, incomplete, or obsolete information, we reserve the right to terminate your account immediately.
Links to Third-Party Websites
Our Service may contain links to third-party web sites or services that are not owned or controlled by Instantflow Limited. We have no control over, and assume no responsibility for, the content, privacy policies, or business practices of any third-party websites.
You acknowledge and agree that Instantflow Limited shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party web sites or services.
Disclaimer
Our Service is provided on an "as is" and "as available" basis. We cannot guarantee that it will be completely safe, secure, or work perfectly without interruption all the time.
To the extent permitted by law, we disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Limitation of Liability
To the extent permitted by law, neither Party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost revenue, arising out of or related to these Terms or your use of the Service.
InstantFlow's total liability arising out of or related to these Terms is limited to the fees you paid InstantFlow in the 12 months before the event giving rise to the claim. If you are a paying subscriber, the liability terms in the Subscription Agreement control instead of this Section for commercial matters, consistent with Section 1 of that Agreement.
These limits do not apply to a Party's fraud, willful misconduct, or infringement of the other's intellectual property rights.
Indemnification
You will defend, indemnify, and hold InstantFlow harmless from third-party claims arising from your Content, your breach of these Terms, or your violation of applicable law.
InstantFlow will defend, indemnify, and hold you harmless from third-party claims that the Service, as provided and used in accordance with these Terms, infringes a third party's intellectual property rights.
Governing Law and Dispute Resolution
These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles. Before starting formal proceedings, the parties will attempt in good faith to resolve any dispute through negotiation for at least 30 days. Unresolved disputes will be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules then in force, seated in Hong Kong, before one arbitrator, conducted in English, except that either party may seek urgent injunctive relief from a court of competent jurisdiction to protect its confidentiality or intellectual property rights, and either party may bring an individual claim in small-claims court where it qualifies. Claims must be brought individually, not as part of a class, collective, or representative action, to the maximum extent enforceable in the jurisdiction where the claim is brought.
Changes to the Terms of Use
We may update our Terms of Use from time to time. We will post the revised version on this page.
For material changes, we will make reasonable efforts to notify you by email or in-platform notice in addition to posting the update. Your continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.
